Nothing to worry about, this file is not a virus. It is program that is used by applications to close programs (i.e. Vista transformation pack). It can also be used by malware to shut down an anti-virus program.
My recommendation is to quarantine it and see what happens. If your system doesn't need it, don't worry about it. If you run into problems you can just go into your anti-virus program and restore it from quarantine.
